The Software and Service are offered subject to your acceptance without modification of all of these Terms of Use and all other operating rules, policies, and procedures that may be published from time to time by the Company. Your subscription to or use of the Software and Service constitutes your agreement to all such terms.
The Company may refuse to offer the Software or Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law.
The Company makes Pagescape — its AI-powered flyer and proposal design tool for turning a narrative, a brand, and a template into a finished, print-ready page — available to Subscribers under this Agreement.
Subscription Plan tiers differ only in monthly Token allocation, team seat limits, and Cloud Storage Allocation, as set forth on the Pricing page.
4.1 Grant of Subscription Access. Subject to the Subscriber's compliance with this Agreement and maintenance of an active, paid Subscription, the Company grants the Subscriber a non-exclusive, non-transferable, non-sublicensable, non-assignable right to access and use the Software, solely for the Subscriber's personal or internal business purposes, for the number of team seats specified by the Subscriber's Subscription Plan. This right exists only for the duration of an active Subscription and does not survive cancellation, lapse, or non-payment except as expressly provided in Section 9.
4.2 Subscription Term, Billing Cycle & Auto-Renewal. A Subscription is billed on a recurring basis for the Billing Cycle selected by the Subscriber at signup (monthly or annual). Each Subscription automatically renews at the end of its Billing Cycle at the then-current Subscription Fee for the Subscriber's Subscription Plan, unless cancelled by the Subscriber prior to the Renewal Date in accordance with Section 9.2. There is no perpetual or lifetime version of the Subscription; access to the Software and Service is conditioned on maintaining an active, paid Subscription.
4.3 Account Access. Access to the Software is provided through the Subscriber's authenticated account on the Platform. No separate license key, activation code, or installation step is required. The Company may suspend account access for non-payment of the Subscription Fee or for material breach of this Agreement, in accordance with Section 9.
4.4 No Arbitrary Suspension. An active, paid Subscription may only be suspended or terminated by the Company for material breach of this Agreement, as specified in Section 9 (Termination), or upon non-payment of the Subscription Fee. The Company may not suspend or terminate a Subscriber's access at will or without cause while Subscription Fees are current.
4.5 Subscription Restrictions. The Subscriber shall not:
All content available through the Software and Service, other than User-generated Outputs, is the property of the Company or its licensors and is protected by applicable intellectual property laws. The Subscription does not convey any ownership interest in the Software.
4.6 Output Ownership. Subject to compliance with these Terms, as between you and Insta Labs LLC, you retain ownership of Outputs generated through the Platform to the extent permitted by applicable copyright law. You acknowledge that the copyrightability of AI-generated works is unsettled and may vary by jurisdiction.
4.7 Derivative Works Acknowledgment. The Platform generates Outputs that may be stylistically or structurally influenced by Input Material you provide. You are solely responsible for ensuring that any such derivative Output does not infringe third-party rights. The Platform is not a substitute for legal review of your Outputs. Before commercially exploiting any Output, you are responsible for conducting your own independent assessment of whether the Output infringes any third-party intellectual property rights. Insta Labs LLC grants no license or clearance in respect of any third-party intellectual property that may be reflected, referenced, or embodied in any Output. The existence of an Output does not imply that Insta Labs LLC holds or has obtained any rights in the source material on which the Output may be based.
4.8 License Grant to Platform. By submitting Input Material and generating Outputs, you grant Insta Labs LLC a non-exclusive, worldwide, royalty-free license to process your Input Material and generate Outputs solely as necessary to operate and provide the Platform Services. Additionally, you grant the Company a perpetual, worldwide, non-exclusive, sublicensable, no-charge, royalty-free, irrevocable copyright license to store, use, reproduce, adapt, publish, and distribute prompts, images, flyers, proposals, and Assets you create, for purposes of operating, improving, and training AI models (subject to your choice under Section 4.9(c)), and to comply with law.
4.9 Improving Our Page Composition Model. We use what we learn from pages made on the Platform to improve Pagescape. Insta Labs LLC may use the Content you create on the Platform, including your prompts, the templates you choose, your edits and your finished Outputs, to train and improve the AI model that composes Pagescape pages. This helps the model place text and images more accurately, follow template designs more closely and make fewer errors for every User.
You agree not to:
Violation of this section may result in immediate suspension or termination of your account and Subscription, and you shall remain liable for all claims, damages, and costs arising from such violation.
6.1 Definitions. For the purposes of this Section, the following definitions apply:
"Explicit Sexual Content" means any content — visual, audiovisual, textual, or otherwise — that depicts, describes, simulates, or sexualizes any of the following: sexual intercourse or sexual acts; genitalia, pubic areas, buttocks, or female nipples and areolae in a sexual or prurient context; sexual arousal, sexual fetishes, or sexually suggestive poses or scenarios; or any combination of the foregoing, whether rendered realistically, stylistically, animated, or in any other form.
"NSFW Content" means content that is not safe for viewing in professional, family, or public settings, including without limitation Explicit Sexual Content, graphic violence, gore, and other material of a similarly adult or disturbing nature.
"Non-Consensual Sexual Imagery" (NCSI) means any image, video, deepfake, or other output that depicts a real, identifiable person in a sexual or sexualized manner without that person's prior, freely given, and explicit written consent, including outputs created by manipulating or combining source material that contains the person's likeness.
"Child Sexual Abuse Material" (CSAM) means any visual depiction, description, or simulation of a person under 18 years of age engaged in sexually explicit conduct, as defined by applicable law.
"Minor" means any person under the age of 18 years, or such higher age as may be prescribed by the applicable law of the user's jurisdiction.
6.2 Core Prohibition. You must not use the Platform or Software, directly or indirectly, to:
This prohibition applies to all use of the Platform and Software regardless of session privacy setting, Subscription Plan, stated creative purpose, or whether any output is retained, shared, or immediately discarded.
6.3 Absolute Prohibitions — Minors and Non-Consensual Sexual Imagery. The following are ABSOLUTE PROHIBITIONS. They apply under all circumstances and cannot be modified, overridden, or waived by any agreement, operator instruction, or user preference:
(a) Child Sexual Abuse Material (CSAM). You must not use the Platform or Software to generate, process, create, upload, or distribute CSAM of any kind. This prohibition applies regardless of whether the depicted individual is a real person, a fictional character, a computer-generated image, an animation, or any other simulated representation. Insta Labs LLC will report any suspected CSAM to the National Center for Missing and Exploited Children (NCMEC) and to applicable law enforcement authorities immediately upon detection, and will permanently ban the associated account without refund.
(b) Sexualization of Minors. You must not use the Platform or Software to generate any content that sexualizes, romanticizes, or creates sexual associations involving any Minor, including: (i) depictions of Minors in sexual or sexually suggestive scenarios; (ii) content that modifies, "ages down," or re-renders an adult as a Minor for the purpose of producing sexualized content; or (iii) sexualized derivative works involving characters from source material who are depicted as or understood to be Minors.
(c) Non-Consensual Sexual Imagery (NCSI / Deepfakes). You must not use the Platform or Software to generate, produce, or distribute Non-Consensual Sexual Imagery of any real, identifiable person. This includes processing source material depicting a real person — including photographs, printed imagery, or social media content — for the purpose of generating sexualized derivative works of that person without their prior, freely given, explicit, and written consent.
6.4 Moderation and Enforcement.
(a) Content Moderation — Insta Labs LLC and its partners operate automated content moderation and safety filtering systems designed to detect and prevent generation of NSFW Content and Explicit Sexual Content. These systems review inputs, prompts, and outputs through a combination of automated (machine-learning) and manual human review methods. You acknowledge that you may not exploit any gap, failure, or latency in these systems. Exploiting a technical gap to generate prohibited content does not affect the prohibition or its legal consequences.
(b) Monitoring Rights — Insta Labs LLC reserves the right — but does not assume an obligation — to monitor, review, and analyze user inputs and outputs for compliance with this Section. The exercise of these rights does not constitute a guarantee that all prohibited content will be detected.
(c) Account Consequences — Violation of this Section may result in any or all of the following at Insta Labs LLC's sole discretion, with or without prior notice: (i) immediate suspension of the Subscriber's account; (ii) permanent termination of the Subscriber's account, Subscription, and all associated access rights; (iii) forfeiture of any prepaid Subscription Fees, without refund; and (iv) reporting of the Subscriber's identity and activity to NCMEC and/or applicable law enforcement authorities.
(d) Indemnification — You agree to indemnify, defend, and hold harmless Insta Labs LLC, its affiliates, officers, directors, employees, and agents from and against all claims, damages, fines, penalties, regulatory proceedings, and legal costs arising from any violation of this Section by you.
(e) No Liability for Blocking — Insta Labs LLC shall have no liability to you for any loss, inconvenience, or damage arising from the blocking, filtering, removal, or rejection of content that Insta Labs LLC reasonably believes violates this Section, even if that content is subsequently determined not to have violated this Section.
6.5 Reporting Prohibited Content. If you encounter any output on the Platform that you believe constitutes Explicit Sexual Content, CSAM, or Non-Consensual Sexual Imagery, please report it immediately to [email protected]. Insta Labs LLC will review all reports promptly.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Insta Labs LLC, its affiliates, subsidiaries, officers, directors, employees, contractors, licensors, agents, and successors (collectively, the "Indemnified Parties") from and against any and all claims, demands, suits, proceedings, liabilities, judgments, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
This indemnification obligation will survive the termination or expiration of these Terms and your Subscription.
8.1 Subscription Fees. A recurring Subscription Fee is charged to the Subscriber's payment method at the start of each Billing Cycle. The Subscription automatically renews at the end of each Billing Cycle at the then-current Subscription Fee for the Subscriber's Subscription Plan, unless cancelled prior to the Renewal Date in accordance with Section 9.2. The Subscription Fee grants the rights specified by the Subscriber's Subscription Plan for the duration of the Billing Cycle it covers.
8.2 Cloud Usage & Storage. Cloud storage and usage capacity are subject to the conditions of the Subscriber's Subscription Plan.
8.3 Token Packs. A Subscriber may, at any time, purchase a Token Pack — a one-time, supplemental addition to their Token Balance — at the rates published on the Pricing page. Token Pack purchases are independent of the Subscriber's Billing Cycle and Renewal Date, and do not extend, modify, or replace the Subscriber's underlying Subscription. Tokens purchased in a Token Pack do not expire and remain in the Subscriber's Token Balance for as long as the Subscriber maintains an account, including through periods where the underlying Subscription has lapsed (subject to the Escrow Balance mechanics in Section 9.2). Token Pack purchases are non-refundable once completed, except as required by applicable law.
8.4 Payment & Taxes. You must provide a valid payment method and are responsible for all applicable taxes. All prices are exclusive of applicable sales tax, VAT, or other government-imposed charges unless expressly stated otherwise. If a recurring payment fails, the Company may retry the charge and, if payment is not successfully collected within a reasonable period, the Subscription will lapse in accordance with Section 9.2.
8.5 Refund Policy. Subscription Fees are non-refundable, except where required by applicable law. If you cancel your Subscription, you retain access through the end of your then-current Billing Cycle (Section 9.2); no partial refund or credit is provided for the unused portion of that cycle. Token Pack purchases are non-refundable once completed, as set forth in Section 8.3. Usage-based Token consumption for compute time, API calls, and storage overage is non-refundable once consumed. Unused Tokens are not refundable or exchangeable for cash; when a Subscription lapses, whether through cancellation taking effect or non-payment, the Subscriber's unused Tokens are held as an Escrow Balance and restored in full if the Subscriber resubscribes using the same account (Section 9.2). Billing questions should be directed to [email protected].
8.6 Price Changes. The Company may change Subscription Fees, Token Pack prices, or Subscription Plan token allocations at any time. For an existing Subscriber, any Subscription Fee increase takes effect no earlier than that Subscriber's next Renewal Date, and the Company will provide at least thirty (30) days' notice via the email address associated with the Subscriber's account before the increased fee is first charged. Continuing an active Subscription past the effective date of a price change constitutes acceptance of the new price; a Subscriber who does not accept a price change may cancel in accordance with Section 9.2 prior to their next Renewal Date.
9.1 Termination by the Company for Cause. Ordinary non-payment of a recurring Subscription Fee does not require a cure period and is instead governed by Section 9.2 (the Subscription simply lapses, with no termination-for-cause process). This subsection applies only where the Company terminates a Subscriber's account for actual misconduct, i.e. material breach of this Agreement other than non-payment, subject to the following:
Material breach includes, without limitation: violation of Subscription restrictions (Section 4.5), prohibited uses (Sections 5 and 6), fraud, or circumvention of account authentication or access-control mechanisms. Violations of Section 6 (NSFW/CSAM/NCSI Prohibitions) result in immediate termination without cure period and without refund, as specified in Section 6.4(c).
9.2 Cancellation by the Subscriber. The Subscriber may cancel their Subscription at any time from their account settings. Cancellation stops future auto-renewal but does not end access immediately:
Permanently deleting your account and all associated data is a separate, distinct, and irreversible action from cancelling a Subscription — see Section 9.3.
9.3 Account Deletion. In addition to cancelling a Subscription (Section 9.2), a Subscriber may separately request permanent deletion of their entire account. Account deletion is irreversible and results in:
9.4 Effect of Termination for Cause. Upon termination for cause under Section 9.1, the Subscriber's access to the Software ceases immediately. Cloud-stored content associated with the Subscriber's account will be available for export for ninety (90) days following termination, after which it will be permanently deleted. The Company will provide reasonable assistance to facilitate content export during this period.
9.5 Survival. The following provisions survive termination or expiration of this Agreement: Sections 4.6–4.8 (Output Ownership, Derivative Works, License Grant to Platform), 7 (Indemnification), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Source Material Warranties), 16 (Dispute Resolution), and any other provision that by its nature is intended to survive.
9.6 Content Removal Rights. Insta Labs LLC reserves the right, in its sole discretion and without prior notice or liability to you, to:
Exercise of these rights by Insta Labs LLC shall not create any liability toward you and shall not constitute a waiver of any right or remedy available to Insta Labs LLC or any third-party rights-holder.
Insta Labs LLC respects the intellectual property rights of others and expects its users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA").

Repeat Infringers — Insta Labs LLC will terminate the accounts and Subscriptions of users who are determined to be repeat infringers in appropriate circumstances.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INSTA LABS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limited Software Warranty — Insta Labs LLC warrants that, during any period in which a Subscriber maintains an active, paid Subscription, the Software will perform substantially in accordance with its published documentation. If the Software fails to conform to this warranty, the Company will, at its option, correct the non-conformance or, if it cannot reasonably do so, permit the Subscriber to cancel their Subscription and receive a pro-rated refund of the current Billing Cycle's Subscription Fee. This remedy is the Subscriber's sole and exclusive remedy for breach of this limited warranty.
WITHOUT LIMITING THE FOREGOING, INSTA LABS LLC MAKES NO REPRESENTATION OR WARRANTY THAT:
YOU ACKNOWLEDGE THAT THE LEGAL LANDSCAPE GOVERNING AI-GENERATED WORKS AND DERIVATIVE WORKS IS RAPIDLY EVOLVING AND UNSETTLED. YOU ASSUME ALL RISK ASSOCIATED WITH THE CREATION, DISTRIBUTION, AND USE OF ANY OUTPUT.

When using the Software or Platform to process content derived from third-party platforms, services, or publications, you agree to:
Insta Labs LLC makes no representation that use of the Platform to process content from such platforms is permitted under the applicable third-party terms.
